Terms of Service
The agreement between your firm and Scopient LLC covering use of the platform, data ownership, and our confidentiality commitments.
These Terms govern your use of Scopient. They are written to be readable. Where they matter most — who owns your data, what we will and will not do with it — the answers are in Section 4 and Section 9.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Scopient platform, including our billing intelligence dashboards, analytics, and reporting tools available at app.scopient.io and any related services (collectively, the "Service"). Scopient LLC ("Scopient," "we," "us," or "our") provides the Service to you ("Customer," "you," or "your").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a firm or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Scopient is a billing intelligence platform designed for law firms and other professional service firms. The Service allows you to:
- Import billing and matter data from your practice management or billing system
- View dashboards and analytics including realization, productivity, AR aging, cash flow forecasting, and client health scores
- Generate reports for internal management, partner review, and client audit responses
- Access AI-powered billing insights and recommendations
The Service is an analytics and reporting layer. We do not replace your practice management system, billing system, or accounting software. We analyze data you provide to deliver insights.
3. Account Registration and Security
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
You may invite additional users from your firm to access the Service under your account. You are responsible for ensuring that all users within your firm comply with these Terms.
4. Your Data — Ownership and Responsibility
4.1 You Own Your Data
All billing data, matter information, client records, time entries, invoices, and any other data you upload or connect to the Service ("Your Data") remains your property at all times. We do not claim any ownership interest in Your Data.
4.2 License to Provide the Service
By using the Service, you grant us a limited, non-exclusive license to access, process, and analyze Your Data solely for the purpose of providing, maintaining, and improving the Service for you. This license terminates when you delete your account or request data removal.
4.3 Data Accuracy
You are responsible for the accuracy and completeness of Your Data. The analytics, dashboards, and reports we generate are based on the data you provide. We are not responsible for inaccuracies in our outputs that result from incomplete or incorrect input data.
4.4 Sensitive Information
Important: You should not upload privileged attorney-client communications, protected health information (PHI), Social Security numbers, or other highly sensitive personal information to the Service. We strongly recommend you limit data imports to billing, financial, and matter-management records. See our Privacy Policy for details on how we handle data.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload data you do not have the right to use, or that violates any confidentiality obligation
- Attempt to gain unauthorized access to any part of the Service or its underlying systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or provide access to the Service to third parties outside your firm without our consent
- Use the Service in any way that could damage, disable, or impair our infrastructure
- Use automated systems (bots, scrapers) to access the Service except through our approved APIs
6. Subscription and Payment
6.1 Plans and Pricing
The Service is offered on a subscription basis. Current pricing, plan details, and included features are available on our website or will be communicated to you during the sign-up process. We reserve the right to modify pricing with 30 days advance written notice.
6.2 Free Trial
We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue accessing the Service. We will notify you before the trial ends. Your Data will be preserved for 30 days after trial expiration to allow you to subscribe.
6.3 Billing and Renewal
Subscriptions are billed monthly or annually, as selected during sign-up. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. All fees are non-refundable except as required by law or as expressly stated in these Terms.
7. Service Availability and Support
We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
Customer support is available via email. Response times may vary depending on the nature and severity of the issue and your subscription plan.
8. Intellectual Property
The Service, including its software, design, dashboards, reports, analytics methodologies, branding, and documentation, is owned by Scopient and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Reports, charts, and analytics outputs generated by the Service using Your Data are yours to use, distribute, and share within your firm and with your clients as you see fit.
9. Confidentiality
We recognize that Your Data may include information subject to attorney-client privilege, work product protections, or professional confidentiality obligations. We commit to treating all of Your Data as confidential. Specifically:
- We will not access, review, or analyze Your Data for any purpose other than providing the Service
- We will not share Your Data with other customers or third parties except as described in our Privacy Policy
- We will not use one customer's data to benefit another customer or competitor
- Time entry narratives and matter descriptions are not used to train AI or machine learning models
- We will cooperate with your firm's ethical and confidentiality obligations to the extent reasonably practicable
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPIENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SCOPIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The Service provides analytics and insights based on data you supply. We do not guarantee the accuracy of any analytics, forecasts, or recommendations. You are responsible for verifying any outputs before relying on them for business or legal decisions.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Termination
12.1 By You
You may cancel your subscription and terminate your account at any time by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period.
12.2 By Us
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk. We will provide notice and an opportunity to cure, where practicable, before termination.
12.3 Effect of Termination
Upon termination, we will make Your Data available for export for 30 days. After that period, we will delete or anonymize Your Data in accordance with our Privacy Policy. Sections 4.1 (data ownership), 9 (confidentiality), 10 (limitation of liability), and 11 (disclaimers) survive termination.
13. Indemnification
You agree to indemnify and hold harmless Scopient from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your uploading of data that you did not have the right to use.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Westchester County, New York. Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
16. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Scopient regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms shall not be considered a waiver. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
